THE SAP BUSINESS ONE BIG DREAMS SWEEPSTAKES (“SWEEPSTAKES”)

BEGINS AT 12:00:00 AM EASTERN TIME (“ET”) ON AUGUST 5, 2015 AND ENDS AT 11:59:59 PM ET ON OCTOBER 23, 2015 (“ENTRY PERIOD”).

ELIGIBILIITY: Sweepstakes is open to legal residents of 50 United States (including Washington, DC) and Canada (except the province of Quebec), who have reached the age of majority in their state of primary residence and to whom this offer is addressed (collectively referred to herein as “Entrant” or “Entrants”). Employees of SAP Global Marketing (the “Sponsor” or “SAP”), Ventura Associates International LLC (the “Administrator”) and their respective parent companies, subsidiaries, vendors  and affiliates, or any promotions, advertising, public relations companies doing business with any of the above (the “Released Parties”), or any of their respective parents, vendors, and affiliated companies, or family members of any of the above (parent, children, siblings, regardless of where they reside) or those living in the same households of such employees (whether or not related) and any person in any way affiliated with or related to government entities, government officials or any other person or entity in the public sector are ineligible to enter. Sweepstakes is subject to all applicable federal, state, provincial and local laws and regulations. Void in the province of Quebec and where prohibited by law.

HOW TO ENTER: During the Entry Period, visit www.sap.com/youcan and follow all onscreen instructions to complete the Sweepstakes Entry Form, including  selecting a response, from a drop-down menu of choices, as to what is the dream you have for your business? Your response is solely for engagement purposes only and will not be reviewed and/or judged.  Limit: One (1) entry per person during the Entry Period.  All entries become the property of Sponsor and will not be returned or acknowledged.

WINNER SELECTION & NOTIFICATION: One (1) winner will be selected in a random drawing from all eligible entries received during the Entry Period. A random drawing will be conducted on or about 4:00:00 pm ET on October29, 2015 by and at the offices of the Administrator whose decisions are final and binding. Potential winner will be notified by telephone and/or email on or about October 30, 2015 and will be required to complete, sign and return an Affidavit of Eligibility plus a Liability and Publicity Release (collectively referred to hereafter as the “Affidavit/Release”) within five (5) days of date specified on notification. In addition, if the winner is a resident of Canada, s/he must correctly answer, unaided, a time-limited mathematical skill testing question administered at a mutually agreeable time by telephone.  If winner does not return the executed Affidavit/Release within five (5) days, or fails to correctly answer the skill testing question within the time frame provided (if applicable), or if an email notification is returned as undeliverable, or if phone call is not answered or returned, or if winner is otherwise found to be ineligible or cannot accept or receive the prize for any reason, the potential winner will forfeit the prize and an alternate winner may be selected who will be subject to these Official Rules and the disqualification procedures in the same manner. The Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate winner, if any. Entry and acceptance of prize constitute permission to use Winner's name, prize won, hometown and likeness for online posting and promotional purposes without further compensation, permission or notification, except where prohibited by law.

ODDS: Odds of winning prize depend on the total number of eligible entries received during the Entry Period.

GRAND PRIZE DETAILS: Winner will receive three (3) business coaching sessions by small business expert, Susan Solovic (“Expert”). Grand Prize maximum value $5,000. Each coaching session is for winner only and will be forty five (45) minutes in duration via Skye at mutually agreed times and dates.  Subsequent to any coaching session, the winner will draft an action plan and the Expert will review it and provide recommendations.  If the Sponsor obtains prior permission from the winner, any or all of the coaching session(s) will be recorded for podcast content to be used by SAP. In addition, all coaching sessions and related initiatives must be completed by December 31, 2015. All decisions concerning the planning and arrangements of the coaching sessions are determined by the Expert and/or the Sponsor. Certain restrictions may apply. Winner must comply with any security procedure or measures imposed by the Sponsor and/or Expert, who reserve the right in their sole discretion to suspend or cancel the coaching session(s) due to non-compliance with any security procedure or inappropriate behavior or misconduct. If for any reason whatsoever the winner is unable to attend one or all coaching session(s) after all arrangements are made and paid for, the prize may be forfeited and the Sponsor shall have no further obligation to the winner. Winner acknowledges that the coaching session(s) is beyond the control of the Sponsor and is subject to being rescheduled, modified or canceled. In the eventuality a coaching session is postponed or canceled, or if the Expert is not available for any reason, no compensation or substitution will be provided and the Sponsor shall have no further obligation to the winner, but at its sole discretion may provide a substitute prize. Prize is not redeemable for cash and is non-transferrable. No substitution is permitted expect by Sponsor. Winner is responsible for all federal, state, income or any other taxes associated with winning the prize. An IRS Form 1099 will be filed in the name of winner for the actual value of the prize.

RELEASE: Participating Entrants agree to indemnify and hold harmless Released Parties, and all of their respective shareholders, employees, directors, officers, representatives and agents of each from any and all liability, loss, harm, damage, injury, cost or expense whatsoever, including without limitation property damage, personal injury and/or death, which may occur in connection with, preparation for, travel to, or participation in Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and/or from Entrant’s fraudulent or wrongful acts or omissions. Winner assumes all liability for any injury or damage caused or claimed to be caused, by participation in this Sweepstakes or use or redemption of prize. The Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of prize. Released Parties are not responsible if the Sweepstakes cannot take place or if prize (or portion of prize) cannot be awarded due to cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, network malfunctions of any kind, weather or acts of terrorism.

ADDITIONAL TERMS AND CONDITIONS: Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void.  The Released Parties are not responsible for: (1) late, lost, incomplete, , stolen, misdirected, delayed, inaccurate, undelivered or damaged entries or any other error whether human, mechanical or electronic; or (2) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment or carrier/network, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the telephone carrier’s system, Internet or at any Web site or any combination thereof; or (3) any injury or damage to Entrant’s or any other person’s computer related to or resulting from participating in the Sweepstakes.  In the event of a dispute, the authorized subscriber of the email account used to enter the Sweepstakes will be deemed to be the Entrant’s and must comply with these Official Rules. Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses for the domain associated with the submitted email address.  The potential winner may be required to provide Sponsor with proof that he/she is the authorized account holder of the email address associated with the entry.

Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or the determination of the Winner shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of New York City or the appropriate New York State Court; (2) any and all claims, judgments and awards shall be limited to the actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (3) under no circumstances will an Entrant be permitted to obtain awards for, and Entrant hereby waives all rights of claim to, punitive, incidental and consequential damages and all other damages, other than for the actual out of pocket expenses and any all rights to have damages multiplied or otherwise increase. By participating in the Sweepstakes, Entrants ℹ agree to be bound by these Official Rules, including all eligibility requirements; and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (1) permanently disqualify from any promotional game or contest it sponsors any person it believes has intentionally violated these Official Rules; and/or (2) cancel the Sweepstakes if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes), and to select winner from among all eligible entries received prior to withdrawal or cancelation.
